Conclusion
1. *Lucrum cessans* (loss of expected profit) in the sense of speculative, hypothetical, or contingent gains is not recoverable.
2. The deprivation of a certain, direct, and customarily attainable benefit—provided that causation is established and the elements of *itlāf* (destruction) or *tasbīb* (indirect causation) are satisfied—must be deemed compensable.
3. It is more appropriate to construe the proviso to Article 515(2) of the Iranian Code of Civil Procedure as pertaining to hypothetical loss of profit, rather than to certain and achievable benefits whose prerequisites (*muqtaḍī*) have already been fully realized.
4. Article 14 of the Iranian Code of Criminal Procedure reflects a shift in the legislative approach toward *manāfi'-e momken al-ḥoṣūl* (potentially attainable benefits). However, due to the differing scopes of criminal and civil procedure, this provision does not operate as an express abrogator (*nāsikh*) of the proviso to Article 515(2) of the Code of Civil Procedure. While Articles 267 and the proviso to Article 515(2) of the Code of Civil Procedure categorically deem loss of profit non-recoverable, Article 14 of the Code of Criminal Procedure (adopted in 2013/1392) broadly permits its recovery in criminal matters. Article 14 conditions such recovery upon the occurrence of *itlāf* (destruction). In civil proceedings, no specific or connected exception (*mukhaṣṣiṣ-e muttaṣel*) has been established to justify the prohibition. This legislative inconsistency gives rise to a conflict between the express wording of the aforementioned provisions of the Code of Civil Procedure and the implied meaning of other provisions of the same Code, such as Article 520. Article 267 further supports the legislature's cautious approach toward loss of profit; however, it does not necessarily constitute an independent ground for the absolute prohibition of all categories of loss of profit in civil claims.
5. Under Egyptian law, compensation for lost profits is recognized under Article 221 of the Egyptian Civil Code, subject to the condition that the damage be both natural and foreseeable. In assessing claims for loss of profit, the Egyptian Civil Code takes into account factors such as the natural consequence of the damage, the possibility of avoidance through reasonable effort, and foreseeability.
From the research findings concerning the recoverability of loss of profit, three distinct approaches can be discerned: (i) the view that loss of profit does not constitute damage (*ḍarar*) at all; (ii) the view that it constitutes damage but remains non-recoverable (as reflected in the Code of Civil Procedure); and (iii) the view that it is recoverable provided that the elements of damage are established.
In Islamic jurisprudence (*feqh*), the guarantee (*żamān*) of benefits enjoys solid foundations in cases such as usurpation (*ghaṣb*), unjust enrichment (*estīfā-ye manfa'at*), destruction of the benefit of property (*itlāf-e manfa'at-e māl*), and certain instances of prohibited prevention. However, extending this principle to all categories of speculative profit requires the establishment of customary financial value (*mālīyat-e 'orfī*), the realization of the prerequisites (*ḥoṣūl-e muqtaḍī*), causation (*rābeṭeh-ye sababīyat*), and the occurrence of destruction (*itlāf*) or indirect causation (*tasbīb*).
Consequently, loss of profit is to be regarded as damage (*ḍarar*) and is therefore compensable. Certainty of loss, its customary realization, and its directness emerge as the most critical criteria for the recoverability of damages—criteria which may be derived from Article 520 of the Code of Civil Procedure. The primary doubt concerning recoverability arises from the requirement that the loss be certain. Based on the research findings, provided that all conditions for claiming damages are satisfied, there is no bar to claiming future damages, so long as the prerequisites (*muqtaḍī*) exist. The combination of conditions for compensable damage is required, while the prerequisite (*muqtaḍī*) need not amount to a complete cause (*'ellat-e tāmmah*). Classifying loss of profit under material damage (*khasāreh-ye mādī*) is deemed correct.
**Reconciliation of Legislative Conflicts:**
1. *Distinction between contractual and non-contractual damages*: Some scholars (e.g., Nājī Zavāreh, 1404: 474) have interpreted the prohibition under the Code of Civil Procedure as applying to contractual damages, while construing the broad scope of damage claims under Article 14 of the Code of Criminal Procedure as pertaining to non-contractual (extra-contractual) liability (*żamān-e qahrī*). This interpretation effectively removes the subject matter from the scope of the proviso to Article 515(2).
2. *Articulation of criteria for loss of profit*: With respect to damages for delay in payment (*khasāreh-ye ta'khīr-e ta'dīyeh*)—which the legislature has deemed recoverable—it appears that the legislature intended to establish a structured framework for loss of profit. In other words, damages for delay, being certain, direct, and actual damages, are regarded as a recoverable instance of loss of profit. Furthermore, the proviso to Article 515(2) constitutes a specific exception (*khaṣṣ*) following a general rule (*'āmm*), and serves as a connected exception (*estethnā-ye muttaṣel*). Accordingly, not every form of loss of profit is recoverable; rather, only that form of loss of profit which satisfies the requisite criteria is actionable. Under this reconciliatory approach, Articles 267 and the proviso to Article 515(2) of the Code of Civil Procedure, which preclude the recovery of loss of profit, are deemed to refer to cases where the conditions for loss of profit have not been fully met. The basis for this restricted construction is the prevalence of instances of loss of profit that fail to satisfy all the requisite conditions.
3. *Another conceivable reconciliation* is the abrogation (*naskh*) of the Code of Civil Procedure by the subsequent Code of Criminal Procedure of 2013/1392. However, the objection remains that the subject matters of the two codes differ.
Following a thorough analysis of the issues, the second approach has been substantiated. The appropriate remedial measure is the enactment of an interpretative provision or the amendment of the proviso to Article 515(2) in order to distinguish between hypothetical loss of profit and certain benefits. Such a provision would clarify the scope of the proviso to Article 515(2) of the Code of Civil Procedure, free from ambiguity. Furthermore, it is necessary to explicitly abrogate (*naskh*) the proviso to Article 515(2) and Article 267 of the Code of Civil Procedure. Additionally, given the divergence of judicial precedents, the issuance of a unifying precedent (*ra'y-e vaḥdat-e raviyeh*) by the Supreme Court appears to be essential.

Loss of lucrum cessans (loss of expected profit) is a concept that may arise in a considerable number of civil disputes. Over the years, Iranian legislators have adopted sometimes conflicting rules regarding the scope of loss of profit and the possibility of claiming it; a contradiction that can be seriously criticized for reflecting either excess or deficiency in the legislator’s approach. Provisions of the Iranian Civil Procedure Code of 1379 (2000) also contain expressions that, in terms of both their literal wording and their legal implication, appear inconsistent with one another, to the extent that the wording of some provisions seems to preclude the recovery of loss of profit. Nevertheless, in 2013, the legislator adopted a different approach—one that gave rise to new ambiguities and even further uncertainty. In this study, after clarifying the relevant doctrinal and legal concepts and examining the semantic scope of loss of profit, the manner in which the law deals with this concept is analyzed. Moreover, judicial practice is examined through a descriptive-analytical approach and in comparison with Egyptian law. The aim is first to delineate the doubtful boundaries of loss of profit in Islamic jurisprudence and positive law, and then to align them with statutory provisions while critically examining the objections raised against such provisions. In addition, the legislative trends and existing case law are analyzed and compared. The findings show the extent to which the approach of legislators and courts conforms to the foundations of Islamic jurisprudence and, ultimately, which approach is more appropriate for resolving legislative conflicts in the field of loss of profit under Iranian law. In this regard, the legislator’s prohibition has largely been grounded in the perception of loss of profit as a form of contingent damage.

4. ماده ۱۴ ق.آ.د.ک نشان دهنده تغییر رویکرد تقنینی نسبت به منافع ممکنالحصول است، اما به دلیل تفاوت قلمرو دادرسی کیفری و مدنی، ناسخ مستقیم تبصره ۲ ماده ۵۱۵ ق.آ.د.م نیست. در مواد ۲۶۷ و تبصره ۲ ماده ۵۱۵ ق.آ.د.م بهطور مطلق خسارت عدمالنفع را غیرقابل مطالبه دانسته؛ اما در ماده ۱۴ ق.آ.د.ک مصوب ۱۳۹۲ در حقوق کیفری، بهطور گسترده ممکن شمرده است. ماده ۱۴ مالک «صدق اتلاف» را برای عدمالنفع بیان کرده. در منع دادرسی مدنی مطالبه، مخصص متصلی وجود ندارد. این تزلزل در تقنین، تعارض منطوق مواد مذکور در ق.آ.د.م با مفهوم برخی دیگر از مواد همان قانون مانند ۵۲۰ را درپی دارد. ماده ۲۶۷ مؤید رویکرد احتیاطی قانونگذار نسبت به عدمالنفع است؛ اما لزوماً دلیل مستقل بر منع مطلق همه اقسام عدمالنفع در دعاوی مدنی نیست.
5. در حقوق مصر، خسارت سود از دست رفته در ماده ۲۲۱ پذیرفته شده، اما مشروط به طبیعی و قابلپیشبینی بودن ضرر است. قانون مدنی مصر در مطالبه عدمالنفع عواملی چون نتیجه طبیعی بودن ضرر، امکان اجتناب با تالش معقول، قابلیتپیشبینی را دخیل است.
از یافتههای تحقیق در امکان مطالبه عدمالنفع، سه دیدگاه ضرر نشمردن عدمالنفع، ضرر شمردن اما غیرقابل مطالبه بودن آن مانند قانون آ.د.م و قابلیت مطالبه به شرط صدق ضرر استنباط شد. در فقه، ضمان منافع در مواردی مانند غصب، استیفای منفعت، اتلاف منفعت مال و برخی موارد منع اجبر، مبانی محکمی دارد؛ اما تعمیم آن به همه اقسام سود احتمالی نیازمند احراز مالیات عرفی، حصول مقتضی، رابطه سببیت و صدق اتلاف یا تسبیب است. درنتیجه عدمالنفع ضرر محسوب و قابل مطالبه است. مسلم، حصول عرفی ضرر و مستقیم بودن ضرر مهمترین معیار امکان مطالبه خسارت شد که از ماده ۵۲۰ قابل استیلاد است. مهمترین تردید در امکان مطالبه، بجهت لزوم مسلم بودن خسارت است. بر اساس یافته تحقیق، در صورت جمع شروط مطالبه خسارت، منعی در مطالبه خسارت آینده به شرط وجود مقتضی نیست. مالک جمع شروط ضرر قابل مطالبه است و مقتضی علت تامه نیست. احتساب عدمالنفع ذیل خسارت مادی صحیح است.
وجه جمع تعارضات قوانین:
1. تفکیک خسارت قراردادی از الزامات خارج از قرارداد: برخی (ناجی زواره، ۱۴۰۴: ۴۷۴) نهی قانون آ.د.م را خسارت ناشی از قرارداد دانستند، در حالی که وسعت مطالبه خسارت ماده ۱۴ ق.آ.د.ک را خسارت خارج از قرارداد تفسیر کردند. دیدگاه مذکور باعث خروج موضوعی از تبصره ۲ ماده ۵۱۵ گردید.
2. ضابطهدهی عدمالنفع: در خسارت تأخیر تأدیه که قانونگذار آن را صحیح دانسته، به نظر میرسد قانونگذار قصد ضابطهمند کردن عدمالنفع را داشته. به عبارتی خسارت تأخیر تأدیه که خسارتی قطعیالحصول و مستقیم و ضرر محقق است بهعنوان نمونهای از خسارت عدمالنفع قابل مطالبه میداند. همچنین تبصره ۲ ذکر خاص بعد عام است و استثنای متصل است. لذا هر عدمنفعى قابل مطالبه نیست، اما عدمالنفعى که مالکهای مطالبه را داشته باشد، قابل وصول است. طبق این وجه جمع، مواد ۲۶۷ و تبصره ۲ ماده ۵۱۵ ق.آ.د.م ناظر بر عدم مطالبه عدمالنفع، انصراف دارد بر عدم جمع شرایط عدمالنفع. منشأ انصراف کثرت مصادیق عدمالنفع بدون جمع تمامی شرایط است.
3. وجه جمع دیگری که متصور است نسخ قانون آ.د.م توسط قانون مؤخر ۱۳۹۲ ق.آ.د.ک است. اشکال تفاوت موضوع باقیست.
پس از تحلیل مسائل، دیدگاه دوم اثبات شد. راهکار اصالحی مناسب، تصویب مادهای تفسیری یا اصالح تبصره ۲ ماده ۵۱۵ است تا میان عدمالنفع احتمالی و منفعت مسلم تفکیک کند. بنابراین، ماده مکرر گستره مالک تبصره ۲ ماده ۵۱۵ ق.آ.د.م، به دور از ابهام تبیین کند. همچنین لازم به تصریح نسخ تبصره ۲ ماده ۵۱۵ و ماده ۲۶۷ ق.آ.د.م است. همچنین صدور رأی وحدت رویه، بجهت تشتت آرای محاکم این امر به نظر لازم است.
